Terms of
Engagement

The standard hourly rate for all advisory services is $250.00 + GST per hour. After the first hour, time is recorded in 6-minute units. Each 6-minute unit is charged at $25.00 + GST. Partial units are rounded up to the next full unit.

Travel within the Auckland Metropolitan Area is included in the hourly rate at no additional charge. Travel outside the Auckland Metropolitan Area will be charged at the current IRD mileage reimbursement rate. Any additional travel time outside the metropolitan area will be charged at the applicable hourly rate.

• Once you confirm that you would like TuuTika to represent you, an invoice will be sent for the first meeting. This invoice is payable before the meeting takes place.
• Any time over the initial hour is charged in 6-minute units at $25.00 + GST per unit. Partial units are rounded up to the next full unit.
• Any future meetings will be charged at $250.00 + GST per hour, invoiced following each meeting.
• Payment is due within 7 days of resolution of the matter, or by the 20th of the month if the matter is ongoing, until resolved.
• Invoices not paid within the agreed timeframe may incur a late payment fee and TuuTika reserves the right to suspend services until payment is received.
• All fees are stated exclusive of GST. GST will be added to all invoices at the prevailing rate.
• Payment may be made by bank transfer to the account details provided on your invoice.

• Cancellations made more than 48 hours before a scheduled engagement will receive a full refund of any prepaid fees.
• Cancellations made between 24 and 48 hours before a scheduled engagement will receive a 50% refund of any prepaid fees.
• Cancellations made within 24 hours of a scheduled engagement, or where no notice is given, are not eligible for a refund.
• Where TuuTika initiates a cancellation, a full refund will be provided or the engagement rescheduled at no additional cost, at your preference.

TuuTika Limited is bound by the Privacy Act 2020 and the Information Privacy Principles contained within it. By engaging TuuTika, you consent to TuuTika collecting, holding, and using the personal information you provide for the purposes of delivering advisory services, generating invoices, and managing the engagement.

In the course of seeking advice, you may share personal information about other individuals with TuuTika. Before doing so, you must advise those individuals that you intend to share their personal information with TuuTika Limited and the purpose for doing so. You remain the collector of that information. TuuTika does not become the collector unless TuuTika specifically requests information directly from an individual.

TuuTika will treat all information shared in the course of an engagement as confidential and will not disclose details of your matter to any third party without your consent, except where required by law.

You agree to engage with TuuTika in good faith. This means:

• You will provide accurate, complete, and factual information to the best of your knowledge.
• You will advise TuuTika promptly if information you have provided changes or if you become aware that information provided was incorrect or incomplete.
• You understand that advice provided by TuuTika is based on the information you provide. TuuTika cannot be held responsible for advice based on inaccurate or incomplete information provided by you.
• You will not withhold information that is material to the matter on which you are seeking advice.

• TuuTika's advice is based on the information provided by you and the applicable law and standards at the time of the engagement.
• TuuTika's services do not constitute legal advice. Where legal advice is required, TuuTika will advise you accordingly.
• TuuTika will act with reasonable skill and care in providing all services.
• You are responsible for the decisions you make based on TuuTika's advice. TuuTika is an adviser, not the decision maker.

If you are dissatisfied with any aspect of TuuTika's service, please contact Isabel Dixon directly at isabel@tuutika.nz in the first instance. If a dispute cannot be resolved directly, the parties agree to attempt resolution through mediation before commencing any formal proceedings.

These Terms of Engagement are governed by the laws of New Zealand. Any disputes arising from or in connection with these terms will be subject to the jurisdiction of the New Zealand courts.
